Arseductra Back to website

Terms & Conditions

These Terms & Conditions govern your use of the Arseductra website and, where applicable, enquiries or purchases made through the website. Paid professional services may also be governed by a proposal, statement of work, order form, invoice terms or separate service agreement.

If a signed proposal, statement of work, order form or service agreement conflicts with these website Terms for a paid engagement, the specific written agreement for that engagement will prevail to the extent of the conflict.

1. About Arseductra

Arseductra provides authority, positioning, content, conversion, growth and related strategic or execution services for founders, experts and businesses. References to “Arseductra”, “we”, “us” and “our” in these Terms refer to the Arseductra business providing the relevant website or service.

2. Acceptance of these Terms

By using this website, submitting an enquiry or application, or purchasing a service through an online payment flow that links to these Terms, you agree to be bound by these Terms together with our Privacy Policy and any additional terms presented for the relevant service.

If you are using the website on behalf of a company or other organisation, you represent that you are authorised to act on its behalf for the relevant interaction.

3. Website use

You may use this website only for lawful purposes. You must not attempt to interfere with the site's operation, gain unauthorised access to systems or data, introduce malicious code, scrape or copy the site at scale without permission, impersonate another person, or use the site in a manner that violates applicable law or third-party rights.

4. Website information

Website content is provided for general business and informational purposes. We aim to keep it useful and accurate, but we do not guarantee that every page will always be complete, current or error-free. Nothing on the website is legal, tax, investment or financial advice.

5. Applications, enquiries and proposals

Submitting a Growth Diagnosis application, WhatsApp message, contact form or other enquiry does not create a client relationship and does not require either party to enter an engagement. We may accept, decline or request further information before proposing work.

Any scope, deliverables, schedule, commercial terms, dependencies and fees for professional services will be described in the applicable proposal, statement of work, order form, invoice, checkout information or service agreement.

6. Client responsibilities

Where you engage Arseductra, you are responsible for providing timely access, accurate information, approvals, feedback, source materials and decisions reasonably required to perform the work. You are also responsible for the legality, accuracy and rights-clearance of materials, claims, data and instructions you supply to us.

Delays caused by missing access, approvals, content, decisions or other client dependencies may affect delivery schedules and results.

7. Fees, invoicing and taxes

Fees and payment schedules will be shown in the applicable proposal, order form, invoice, checkout or service agreement. Unless stated otherwise, amounts are exclusive of taxes that must legally be added or collected.

You agree to provide accurate billing information and to pay undisputed amounts when due. We may pause work or access to deliverables where an undisputed payment is materially overdue, subject to any contrary terms in the applicable service agreement and applicable law.

8. Online payments

If we offer online payment, transactions may be processed by a third-party payment gateway or payment processor. We do not guarantee the continuous availability of a third-party payment service and are not responsible for outages or failures solely within the payment provider's systems.

A payment receipt or successful payment confirmation does not expand the agreed scope of services beyond the applicable proposal, order, checkout description or service agreement.

9. Cancellations, rescheduling and refunds

Cancellation, rescheduling and refund rights depend on the type of service, work already performed, resources reserved, third-party commitments and the specific commercial terms presented before purchase. The applicable proposal, service agreement, order form or checkout terms will state any service-specific cancellation or refund rules.

Nothing in these Terms limits any refund, cancellation or other right that cannot lawfully be excluded under applicable law.

If we later enable direct online checkout for a standardised service, we may publish a separate Refund & Cancellation Policy with the relevant eligibility rules and processing timelines.

10. No guarantee of commercial results

Arseductra may provide strategy, content, positioning, conversion infrastructure, distribution support and growth execution, but business outcomes depend on factors outside our control, including market demand, offer quality, pricing, competition, platform behaviour, client responsiveness, sales execution and economic conditions.

Unless expressly stated in a signed written agreement, we do not guarantee a particular number of leads, followers, views, sales calls, customers, revenue, profit or other commercial result.

11. Third-party platforms

Our work may involve third-party platforms such as social networks, messaging services, advertising platforms, hosting providers, payment processors and other software. Those services are governed by their own terms and policies and may change their algorithms, features, pricing, access or rules without notice to us.

We are not responsible for suspensions, outages, algorithm changes or platform decisions that are outside our reasonable control, although we may assist with mitigation where that is within the agreed scope.

12. Intellectual property in the website

The Arseductra website, branding, original copy, graphics, layouts, frameworks, methods and other materials created by or for Arseductra are protected by applicable intellectual-property laws. Except where expressly permitted, you may not reproduce, republish, sell, license, distribute or create derivative commercial works from them without written permission.

13. Client materials and permissions

You retain ownership of materials you provide to us. You grant us the limited rights reasonably necessary to access, copy, edit, adapt and use those materials for the purpose of performing the agreed services.

You represent that you have the rights and permissions necessary for materials, trademarks, footage, testimonials, data and other content you instruct us to use.

14. Deliverables and background materials

Ownership or licence rights in bespoke deliverables will be governed by the applicable proposal, statement of work or service agreement. Unless expressly agreed otherwise, Arseductra retains ownership of its pre-existing materials, reusable methods, processes, know-how, templates, systems, frameworks, concepts and tools, even where they are used in delivering a client project.

15. Confidentiality

Where either party receives non-public business information that is reasonably understood to be confidential, the receiving party should use it only for the relevant engagement and take reasonable steps to protect it. More detailed confidentiality obligations may be included in the applicable service agreement or a separate non-disclosure agreement.

16. Portfolio, publicity and case studies

We will not rely on these website Terms alone as blanket permission to disclose confidential client information. Use of a client's name, logo, work, results or confidential project details for a public case study or portfolio will be subject to the applicable service agreement, prior approval, or other permission where required.

17. Feedback and testimonials

If you voluntarily provide a testimonial, review or other feedback and authorise us to use it publicly, we may reproduce it for marketing or portfolio purposes in the form and context agreed with you. We will not knowingly present fabricated or materially misleading testimonials or claims.

18. Suspension or termination of services

Rights to suspend or terminate a paid engagement will be governed primarily by the applicable service agreement. We may also suspend access to a service where reasonably necessary to address unlawful use, material non-payment, security risk, abuse, or a material breach, subject to applicable law and any contractual notice requirements.

19. Disclaimer of warranties

To the maximum extent permitted by law, the website is provided on an “as available” basis. We do not warrant uninterrupted access or that the website will be free from every error, security issue or third-party interruption.

Any warranties relating to paid professional services will be those expressly stated in the applicable service agreement or required by law.

20. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special or consequential loss arising solely from website use or a professional engagement, except where such liability cannot lawfully be excluded or limited.

Any additional liability cap or allocation of commercial risk for paid services should be set out in the applicable service agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.

21. Indemnity for client-provided materials

To the extent permitted by law and subject to the applicable service agreement, you are responsible for claims arising from materials, instructions or representations you provide to us where you did not have the necessary rights or where the content was unlawful, misleading or infringed third-party rights.

22. Force majeure and events outside reasonable control

Neither party should be treated as responsible for delay or failure caused by events beyond reasonable control, such as major internet or cloud outages, natural disasters, widespread platform failures, government action, civil disruption or other comparable events, provided the affected party takes reasonable steps to reduce the impact where possible.

23. Privacy

Our handling of personal information is described in our Privacy Policy. Third-party services used in connection with the website or an engagement may also have their own privacy terms.

24. Changes to these Terms

We may update these website Terms as our services, payment flows or legal requirements change. The version published on the website will apply to website use from the time it is posted. Changes to an already-signed client engagement will be governed by the amendment provisions of the applicable service agreement, not by silently changing these website Terms.

25. Governing law and disputes

These website Terms are governed by the laws of India, without limiting any mandatory rights that apply under consumer or other applicable law. Any service-specific dispute process, venue or jurisdiction stated in a signed proposal or service agreement will apply to that engagement. Where no such agreement exists, jurisdiction will be determined in accordance with applicable law.

26. Severability

If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

27. Entire agreement for website use

For website use, these Terms and the Privacy Policy form the relevant agreement between you and Arseductra regarding the website. For paid services, the applicable proposal, statement of work, order form, invoice terms or service agreement may add to or replace parts of these website Terms.
